These Terms of Service ("Terms") govern your use of Reservoir, available at reservoir.ac and app.reservoir.ac (the "Service"), operated by HeyMIRA, Inc., a Delaware corporation ("HeyMIRA", "we", "us"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.
1. The Service
Reservoir lets you upload your research career documents once and re-project them into grant application drafts, manuscript skeletons, and CV formats. The Service includes AI-assisted features that extract, organise, and draft content based on the material you provide.
The Service is currently in an early-access phase. Features may change, be added, or be removed as the product evolves. We will give reasonable notice of changes that materially reduce core functionality.
2. Your account
- You must provide a valid email address to create an account. Authentication is via magic link sent to that address; you are responsible for the security of your email account.
- You must be at least 18 years old and using the Service in a professional or academic capacity.
- One account per person. You may not share account access or use another person's account.
3. Your content
3.1 Ownership
You retain all rights to the documents you upload, the career data you confirm, and the drafts and outputs you generate ("Your Content"). We claim no ownership of Your Content.
3.2 Licence to us
You grant us a limited, non-exclusive licence to host, process, and display Your Content solely to operate and provide the Service to you — for example, storing your documents, sending document text to our AI provider to generate extractions or drafts you request, and rendering your blocks in the interface. This licence ends when you delete the relevant content or your account, subject to backup rotation periods described in the Privacy Policy.
3.3 What we will not do
We will not sell Your Content, use it for advertising, use it to train AI models, or share it with third parties except the subprocessors listed in the Privacy Policy, strictly to operate the Service.
3.4 Your responsibilities
You are responsible for having the right to upload the documents you upload. Do not upload documents containing third parties' confidential information that you are not permitted to process (e.g. unpublished co-authored material you may not share, or documents subject to institutional confidentiality obligations that prohibit cloud processing).
4. AI-generated content
Reservoir's AI features produce proposals, not facts. Specifically:
- Every AI output is a draft for your review. Extracted blocks, parsed call checklists, drafted grant sections, and paper skeletons are suggestions. Nothing becomes part of your career record until you confirm it, and nothing is ever submitted to any third party by the Service.
- You are responsible for verifying all output before use. Before you submit any AI-assisted text to a funding agency, journal, employer, or other recipient: check its accuracy, completeness, and compliance with the recipient's rules (including any rules on AI-assisted writing, which some funders and journals impose).
- The system is designed not to invent facts, citations, or numbers, and to flag gaps with visible placeholders — but AI systems can make mistakes. Do not rely on any output without review.
- Grant call parsing is an aid, not legal or administrative advice. Always verify deadlines, eligibility conditions, and required documents against the official call text.
5. Acceptable use
You agree not to:
- use the Service to misrepresent your qualifications, fabricate merits, publications, or credentials, or otherwise produce fraudulent application materials;
- upload malicious files or attempt to compromise the Service or other users' data;
- attempt to extract, scrape, or reverse-engineer the Service, its prompts, or its models;
- resell or provide the Service to third parties without our written agreement;
- use the Service in violation of applicable law or of obligations you owe to your institution or funders.
We may suspend or terminate accounts that violate these Terms.
6. Fees
The Service is currently provided free of charge during early access. If we introduce or change paid plans, we will give you advance notice, and continued use of paid features after the notice period constitutes acceptance. Payments are processed by Stripe; we do not store card details.
7. Termination
You may stop using the Service and delete your account at any time. Upon account deletion, Your Content is deleted as described in the Privacy Policy. We may suspend or terminate your access for material breach of these Terms, with notice where practicable. Sections 3.1, 4, 8, 9, and 10 survive termination.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR COMPLETE. WE DO NOT WARRANT ANY OUTCOME OF ANY GRANT APPLICATION, SUBMISSION, OR EVALUATION IN WHICH YOU USE MATERIAL FROM THE SERVICE.
Nothing in these Terms excludes liability that cannot be excluded under applicable law, including, for consumers in the EU, rights under mandatory consumer protection law.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEYMIRA'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) USD $100. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF DATA, PROFITS, FUNDING, OR PROFESSIONAL OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY.
10. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Disputes shall be resolved in the state or federal courts located in Delaware, and the parties consent to their jurisdiction — provided that, if you are a consumer habitually resident in the EU/EEA or UK, you retain any mandatory protections and venue rights granted by the law of your country of residence.
11. Changes to these Terms
We may update these Terms as the Service evolves. For material changes we will notify you by email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance; if you do not agree, you may delete your account.
