Beta Tester Agreement
Reservoir — A Product By HeyMIRA, Inc.

This Beta Tester Agreement (the "Agreement") is between HeyMIRA, Inc., a Delaware corporation ("HeyMIRA", "we", "us"), and the individual identified below (the "Tester", "you"), and governs your participation in the beta testing programme for Reservoir (reservoir.ac and app.reservoir.ac, the "Beta Service").
This Agreement supplements — and in case of conflict, prevails over — the Reservoir Terms of Service. The Privacy Policy applies in full to all personal data processed during the beta.
1. The beta programme
We are granting you early access to Reservoir before its general release so that you can use it with your real research career materials and tell us what works and what doesn't. In exchange, you accept that the Beta Service is unfinished software: features may be incomplete, change without notice, behave incorrectly, or be removed entirely.
Your access is personal, non-transferable, free of charge, and limited to the duration of the beta programme (Section 8).
2. What we ask of you
- Use it for real. The beta is most valuable when used on genuine tasks — actual grant applications, actual manuscripts, your actual career documents.
- Report what you find. Tell us about bugs, confusing behaviour, wrong extractions, missing features, and anything that slows you down. There is no required format or quota — an email or message is enough.
- Don't rely on it as your only copy. Keep your own originals of every document you upload and your own copies of any draft you care about. Beta software can lose data (Section 6).
3. Feedback
"Feedback" means suggestions, bug reports, ideas, and comments you provide about the Beta Service. You grant HeyMIRA a perpetual, irrevocable, worldwide, royalty-free licence to use Feedback for any purpose, including improving and commercialising Reservoir, without obligation or attribution. Feedback does not include Your Content (your documents, career data, and generated drafts), which remains yours under the Terms of Service and is never treated as Feedback.
4. Confidentiality
During the beta, you may see features, designs, prompts, roadmaps, or performance characteristics that are not public ("Confidential Information"). You agree not to disclose Confidential Information to third parties or post it publicly (including screenshots of unreleased features) without our prior written consent.
This obligation does not apply to information that is or becomes public through no fault of yours, that you already knew, or that you are legally required to disclose. It does not restrict you from describing your general experience as a Reservoir user in academic or professional contexts once we confirm the relevant features are public. This obligation expires 2 years after the end of your participation.
5. Your data during the beta
The Privacy Policy applies without reduction during the beta: your documents are stored encrypted in the EU, personal identifiers are excluded from extracted blocks, your data is never used to train AI models, and you can delete any document, block, or your entire account at any time.
Two beta-specific points:
- We may look at more than usual, with care. To debug extraction or generation problems, HeyMIRA personnel may need to inspect the specific documents, blocks, or outputs involved in an issue you report. We will do so only as needed to resolve the issue, and we will treat anything we see as confidential.
- Data may not survive the beta. We will make reasonable efforts to carry your data into the released product, but we do not guarantee it. We will warn you before any planned reset.
6. No reliance; AI outputs
You acknowledge that:
- the Beta Service may produce incorrect extractions, drafts, or checklists, may be unavailable, and may lose or corrupt data;
- all AI outputs are proposals requiring your review, as described in Section 4 of the Terms of Service — verify everything before submitting it to a funder, journal, or institution;
- you will not treat the Beta Service as the system of record for any deadline-critical process. Always verify deadlines, eligibility, and requirements against official sources.
7. Testimonials and naming (optional)
We will not use your name, likeness, institution, or any description of your use of Reservoir in marketing materials without your separate, explicit, written consent, which you may withhold or withdraw freely. Declining has no effect on your beta access.
8. Term and termination
This Agreement starts when you accept it and ends when the beta programme ends, when we release the feature set you are testing into general availability, or when either party terminates it — which either of us may do at any time, for any reason, with notice to the other. On termination, your access to the Beta Service ends (or converts to a standard account, at our option and your choice), and Sections 3, 4, 6, 9, and 10 survive. Your rights to your data, including export and deletion, survive under the Privacy Policy.
9. Disclaimers and liability
THE BETA SERVICE IS PROVIDED "AS IS", WITHOUT WARRANTIES OF ANY KIND. THE DISCLAIMERS AND LIABILITY LIMITATIONS IN SECTIONS 8 AND 9 OF THE TERMS OF SERVICE APPLY IN FULL, AND BECAUSE THE BETA SERVICE IS PROVIDED FREE OF CHARGE, HEYMIRA'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED USD $100. NOTHING IN THIS AGREEMENT EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW, INCLUDING MANDATORY CONSUMER PROTECTIONS FOR EU/EEA OR UK RESIDENTS.
10. General
This Agreement is governed by the laws of the State of Delaware, USA, subject to any mandatory protections of your country of habitual residence. It is the entire agreement between us regarding the beta programme, supplementing the Terms of Service and Privacy Policy. We may update this Agreement with notice; continued participation after the notice period constitutes acceptance.
Acceptance is recorded electronically when you check the beta agreement box at sign-in.
